Draft for legal review. This text is a working outline, has not been approved by counsel and is not yet binding. Items in brackets must be completed before launch.
Terms of service
These terms govern the use of ScoutPath by recruitment agencies, their staff and other professionals. ScoutPath is operated by Leandro Fernandes Lemos Pires, Entrepreneur individuel (EI), micro-entreprise, SIREN 912 561 560, France (see the legal notice). The Agency Terms and Data Processing Addendum complete these terms for agencies. [Governing law and courts: French law and the courts of Paris are proposed, to be confirmed by counsel.]
A service for professionals
- ScoutPath is sold to businesses and professionals for their professional activity: recruitment agencies, scouts, consultants and their staff. It is not offered to athletes or families for their own use.
- When creating a workspace, the person signing up gives the organization's details and declares that the workspace is opened for professional purposes. ScoutPath may ask for proof (registration number, website) and close a workspace opened by a consumer. [Counsel to confirm which consumer-law rules can still apply, for example to very small businesses, and the country rules for agencies outside France.]
- College coaches use a separate, free coach account, described below.
- ScoutPath is software. It is not a recruitment or placement agency, does not represent athletes, does not negotiate with colleges and is not paid according to the result of a recruitment.
The service
ScoutPath provides athlete profiles, research on US college soccer programs, matching, comparison, a recruiting pipeline and, depending on the plan, coach opportunities, messages with verified coaches and Recruitment Management. Scores measure compatibility with the criteria entered and the data available. They are not predictions of recruitment, admission, eligibility or financial aid, and they are not advice from an athletic association, a college or a coach. An estimated opportunity drawn from a roster is never a statement that a program is recruiting; only needs confirmed by a program are shown as confirmed. An unknown scholarship amount is shown as unknown.
Recruitment Management is a tracking tool. It does not decide or predict an admission, an eligibility or a visa, and it does not replace the procedures of colleges, athletic associations or US authorities. An official outcome is recorded only by the agency, with its source.
Plans
The matching engine and the quality of results are the same in every plan; plans differ by volume and by the tools around matching. Limits are applied by the software. Prices are provisional and online payment is not open yet. VAT not applicable, article 293 B of the French tax code (CGI).

- Tailored terms: an order form agreed with an agency can set another price, other limits or extra features. It prevails over this table for that agency.
- Free trial: a new workspace starts with a free trial whose content is shown on its Plan page. One trial per agency; ScoutPath may refuse or end a trial opened to get around its limits.
- Changing plan: a higher plan applies at once. A lower plan applies at the end of the paid period. Nothing is deleted when a plan ends or changes: athletes above the new limit can be archived, and features of a former plan are hidden, not erased, until the plan returns or the agency deletes the data.
Billing, renewal and cancellation
No payment is taken today. When billing opens, the following is proposed [to be confirmed by the founder and counsel]:
- Plans are billed monthly in advance, in euros. Invoices are sent by email and state the VAT position above.
- A plan renews each month until it is cancelled. Cancelling in Settings or by email takes effect at the end of the current month; the month started is not refunded.
- [Payment deadline, late-payment interest and the fixed recovery indemnity owed between businesses under French law, to be set.]
- [Price changes announced at least 30 days in advance, with the right to cancel before they apply — to be confirmed.]
Accounts and collaboration
- Each person uses their own account. Keep your password confidential and tell us at once about any unauthorized use.
- Owners and admins of a workspace decide who is invited and with which role, and are responsible for the people they invite. Viewers can read but not change data.
- You can see and end your signed-in devices, change your password, log out and delete your account in Settings.
Closing a workspace, deleting an account
- A member can delete their own account at any time. The workspace and its data stay with the agency.
- An owner can delete the whole workspace in Settings after confirming its name and their password. Its athletes, documents, notes, matching results, pipeline, conversations and recruitment files are deleted at once; the other members are told and keep their personal accounts.
- Deleted data disappears from encrypted backups within 12 months. The security log keeps identifiers and action names for its own period.
- Export what you need first: each athlete can be exported, and each recruitment file as CSV.
Athlete data
- Your agency decides which athlete data to enter and must have a lawful basis for it, including a parent or guardian's consent for athletes under 18, which the product asks you to record.
- Do not enter passport, visa or SEVIS numbers, health information or anything not needed for the recruitment. The software refuses identifiers it recognizes.
- Share an athlete's profile or videos with a coach only with the consent recorded in the athlete's file, and only videos you are allowed to share.
College and roster data
College, program and roster data comes from public sources, or from the programs themselves, shown with each fact and its date. It can be incomplete or out of date. Rosters are shown only where ScoutPath holds the right to reuse them; otherwise the link to the official page is given. Confirm important facts (costs, eligibility rules, scholarships, roster needs) with the college or association before relying on them.
College coaches
- A coach account can change nothing about a program until ScoutPath has verified the coach's identity and affiliation. ScoutPath removes that access when a coach leaves the program or misuses it.
- Needs a verified coach publishes are shown to agencies as stated by the program, with the coach's name and the date, until their end date (12 months at most). The coach keeps them accurate, non-discriminatory and closes them when filled. Videos added to a need must be shareable, with the agreement of the people shown.
- A coach who sends a roster confirms being authorized by the program to share it and allows ScoutPath to use it in its service.
- Coaches choose whether they accept messages, and can decline, block or report an agency. Messages are limited (one conversation per program and athlete, no bulk sending). Each side remains responsible for the recruiting rules of the athletic associations and for the laws on agents that apply to it.
Acceptable use
- Use roster data only to evaluate programs for athletes you work for. Do not use it to contact, profile or market to players listed on rosters.
- No unsolicited promotion through messages; no automated sending.
- Follow the recruiting rules of the athletic associations (NCAA, NAIA, NJCAA and others) and the laws that apply to agents and recruiting in your country and in the US states concerned.
- Do not present an estimate as confirmed information to athletes, families or programs.
- No scraping, bulk extraction, resale or redistribution of ScoutPath data; no attempt to reach another agency's data or to bypass security or plan limits, including by opening several trial accounts.
Responsibilities
- ScoutPath: provides the service with reasonable care, keeps each agency's data isolated and secure, labels estimates as estimates, gives sources and dates, and tells agencies of a personal data breach that affects them. Availability is a best effort; maintenance is announced when possible.
- Agencies: the accuracy and lawfulness of the data they enter, the information and consent of athletes and families, their own decisions and advice, their contracts with athletes and colleges, and compliance with association rules and agent laws.
Liability
ScoutPath does not guarantee that a program will recruit, admit or fund an athlete, nor that public data is complete. [Proposed, to be validated by counsel: liability limited to direct damage and capped at the fees paid in the 12 months before the event; no limit for gross negligence, wilful misconduct or where the law forbids it.]
Service providers and transfers
ScoutPath uses providers to run the service: [hosting provider, database and backup storage, email provider — to be named with their locations once chosen]; Anthropic (United States), only when AI-worded explanations are enabled, without athlete names or documents; GitHub (United States) for the source code. Transfers outside the EU rely on an adequacy decision (such as the EU-US Data Privacy Framework for certified companies) or standard contractual clauses. [Each provider's safeguard to be checked and listed.] Details in the privacy policy.
Suspension
ScoutPath can suspend access, after notice when possible, in case of a security risk, a breach of these terms (in particular the use of roster data to contact players) or, once billing opens, non-payment. The agency can still export its data during a suspension, except in case of a security risk.
Changes and contact
Changes are announced by email and in the product [at least 30 days before they apply, to be confirmed]. Contact: contact@scoutpath.eu.
